These terms and conditions govern your membership with us.

MEMBERSHIP

1.1 There shall be five categories of membership of the PBSL: PBSL+, Full, International Associate and Student. Provisions relating to these categories and any sub-categories of membership of the PBSL shall be contained in these Terms and Conditions.

1.2 Members may upgrade their membership on satisfying the prescribed membership criteria for a higher Membership Grade.

MEMBERSHIP TERM

2.1 Your membership is valid for the Membership Term of 12 months from the date of subscription.

MEMBERSHIP FEES

3.1 Membership of the PBSL in each category of Membership and access to Member Services is conditional upon the payment of the appropriate subscription fee.

3.2 Subject to clause 5, Members are not entitled to a refund of any subscription fees following termination or cancellation of membership.

3.3 Members opting to pay for their annual subscription on a monthly direct debit/debit card/credit card payment plan are agreeing to pay a full annual fee equating to 12 monthly payments at the agreed rate. If a payment has failed or a member has cancelled their direct debit before the completion of the subscription payment without prior agreement with the PBSL, the PBSL may take action to recover the monies owed, and reserves the right to suspend membership until payment is received. Upon failure to make payment, subsequent re-instatement of the membership or any future application for memberships or other PBSL products or services may be subject to the outstanding membership fees.

MEMBERSHIP RENEWAL

4.1 To renew your membership you are agreeing to pay your subscription fee in full as detailed in Clause 3.3 before the anniversary of your previous membership term in the respective calendar year (the ‘Renewal Date’). Membership is annual from the point of joining. UK members will need to commit to pay in full via annual or monthly debit/credit card payment or set up a direct debit mandate when they join online and payment for renewals will be deducted automatically on the subscription renewal date.

For members paying by direct debit, membership will be renewed automatically at the end of the membership period. Members may cancel their membership by giving no less than 28 days’ notice of cancellation prior to the renewal date, which is the date their current subscription term ends.

For members not paying by direct debit, and whose membership period has come to an end, receipt of the correct membership fee will be deemed to represent application for a further period of membership.

4.2 The PBSL reserves the right, at its sole discretion, to charge additional fees to renew membership after the Renewal Date.

4.3 Where any subscription payable by the Member to the PBSL is not paid by the Renewal Date, your membership shall be deemed to have lapsed. The Member will be served with notice allowing the Member 28 days from the Renewal Date to make the necessary payment (the ‘Grace Period’). Subscription payments not received within 28 days of the renewal date will result in the membership being lapsed and all benefits will be suspended pending payment.

4.4 During the Grace Period, the PBSL reserves the right, at its sole discretion, to withdraw or suspend access to any Member Services.

4.5 At the expiry of the Grace Period, any membership for which membership fees have not been received in full by the PBSL shall be terminated and the Member will lose the right to use their membership.

RIGHT TO CANCEL MEMBERSHIP

5.1 Members shall have a right to cancel their membership within 14 days of receipt of their annual membership renewal and receive a full refund. For further information, please contact the PBSL Team at info@thepbsl.com.

MEMBERSHIP TERMINATION

6.1 A Member may terminate his or her membership by providing 28 days’ notice to the PBSL, subject to clause 6.2 and 6.3 below.

6.2 A Member shall cease to be a Member:

  1. on the expiry of 28 days’ notice to the PBSL of his or her resignation as a Member;
  2. if any subscription or other sum payable by the Member to the PBSL is not paid by the due date and remains unpaid 28 days after notice has been served on the Member by the PBSL informing the Member that membership will be terminated if it is not paid;
  3. if the Board resolves that the Member be expelled.  Such a resolution shall not be passed unless the Member has been given not less than 14 days’ notice of the fact that the resolution is to be proposed, specifying the misconduct or circumstances alleged to justify expulsion, and has been afforded a reasonable opportunity of being heard by or of making written representations to the Board;

6.3 Any Member who ceases to be a Member in accordance with clause 8.2 shall remain liable for all subscriptions and any other sums due from the Member up to and including the date when s/he ceases to be a Member.

MEMBERSHIP REJECTION

7.1 An application for membership or for transfer from one category (or sub-category) of membership to another shall be determined by the Board which may in its absolute discretion decline to accept an applicant as a Member.

7.2 Members are advised that the PBSL may also, in certain circumstances, reassess the Membership Grade of any Member whose Membership was terminated or ended.

INTELLECTUAL PROPERTY RIGHTS

8.1 All Intellectual Property which exists in the Materials provided to Members as part of the Member Services are owned by the PBSL and/or its content providers.

8.2 Membership does not confer any right to use the PBSL Intellectual Property, including the PBSL brand and logo, except where expressly provided in writing.

8.3 The Member shall not:

  1. licence, sell, rent, lease, transfer, assign or otherwise commercially exploit Materials, including passwords, provided to the Member by the PBSL; or
  2. licence, sell, rent, lease, transfer, assign or otherwise commercially exploit or otherwise make the Member Services available to any third party.

FORCE MAJEURE

9.1 In the event of Force Majeure, PBSL shall not be deemed to be in breach of these Terms and Conditions and in particular shall not be liable for a delay or for non-performance of any of its obligations under these Terms and Conditions or for any loss or damage occasioned thereby. To the maximum extent permitted by law, all losses arising for this reason shall not be recoverable by the Member.

VARIATION

10.1 At its absolute discretion, PBSL may at any time alter, amend, change, modify or withdraw any of the membership benefits that comprise the membership offering. It will be your responsibility to keep up-to date with all such changes and your membership renewal and continued use of the Member Services shall be deemed acceptance of any changes to these Terms and Conditions.

NOTICE

11.1 Any notice to be given under these Terms and Conditions shall be in writing, which shall include electronic communication to the email address you provide.

DATA PROTECTION

12.1 For your security and peace of mind, the PBSL and its Subsidiaries will not supply your details to any organisation for marketing purposes. By accepting these Terms and Conditions, you agree to the use of your information as set out in our Privacy policy.

GOVERNING LAW

13.1 These Terms and Conditions shall be interpreted in accordance with English law and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

INTERPRETATION

The following definitions apply in these Terms and Conditions:

‘Board’: the Board of the PBSL as from time to time constituted in accordance with the Charter & Byelaws;

‘The PBSL’ the Professional Body of Sports Leadership a company registered under number 12626226 and having its registered office at 85 Great Portland Street, London W1W 7LT and its principal place of business at 91, Wimpole St, Marylebone, London W1G 0EF;

‘Force Majeure’ any event or occurrence which is outside the control of the party affected and which is not attributable to any act or failure to take preventive action by the party affected, but shall not include any industrial action occurring within the PBSL;

‘Intellectual Property’ copyright, database rights, rights in confidence, rights in passing-off, rights to domain names, registered and unregistered designs, trademarks, patents or other industrial or intellectual property together with any current or future applications for any registrable items of the foregoing;

Materials’ all materials including the written content, newsletters, conference materials, advertising, brochures, publicity material, invitations, website, branding, logos and other PBSL materials used by or for or relating to the Member Services;

‘Member’ a fully paid-up individual member of the PBSL and “Members” shall be construed accordingly;

‘Membership Grade’ the grade of membership held by a Member which is dependent on satisfying the membership criteria for the specified grade; these shall include: PBSL+, Full, International, Associate and Student;

‘Member Services’ the services provided by the PBSL for the benefit of Members subject to these Terms and Conditions;

‘Membership Term’ the 12-month period of valid membership commencing on the day of the Member’s subscription;

‘Terms and Conditions’ the Terms and Conditions set out in this policy;

‘Subsidiaries’ shall in relation to the PBSL, have the meaning ascribed to it in the Companies Act 2006 as may be amended from time to time.
